These Terms & Conditions govern all services provided by Karl Muir trading as Birdie Digital (“we”, “us”, “our”).
By engaging our services, you agree to the terms below.
1. Services Provided
We provide marketing systems, funnel builds, automation setup, and conversation-based follow-up systems for coaches, consultants, experts and service providers.
Services may include:
- Done-For-You Conversion Engine installs
- Funnel builds and automation setup
- WhatsApp and email automation configuration
- Conversation Loop implementation
- Ongoing system optimisation
- Access to templates, portal resources, and AI tools
- Advisory and strategic input
- Meta Ads creation and management
- Social media posting
- Any other services stated at time of sign up
The exact scope of work is defined in your proposal, invoice, or written agreement.
2. Monthly Done-For-You Services
2.1 Minimum Commitment & Notice Period
All monthly services require:
- A minimum initial commitment of 3 months (unless otherwise agreed in writing)
- Thereafter, a mandatory 30 days’ written notice to cancel
Notice must be given in writing via email or WhatsApp.
Your notice period begins from the date written confirmation is received.
You remain responsible for payment during the full notice period.
We do not offer pro-rata refunds for partial months.
2.2 Payment Terms
Payment is due monthly in advance.
Late payments may result in paused access, paused automations, or suspended services.
We reserve the right to charge statutory interest on overdue invoices.
2.3 Scope Boundaries
Our role is to build and maintain the system that moves leads from interest to conversation.
We are not responsible for:
- Your offer performance
- Your sales ability
- Ad performance
- Market demand
- Revenue guarantees
We install structure.
Results depend on traffic quality, offer strength, and execution on your side.
3. One-Time Funnel Build
3.1 Payment
50% upfront (non-refundable)
50% prior to final handover
Work does not begin until the deposit is received.
3.2 30-Day Post-Handover Support
Support is limited to:
- Technical fixes
- Minor adjustments
- Clarifications
It does not include full redesigns or additional strategy.
After 30 days, support transitions to a paid arrangement if required.
4. System Access Only
This tier provides access to:
- Templates
- Automation structures
- Portal resources
- AI assistance (where included)
4.1 Cancellation
You may cancel at any time with 30 days’ written notice.
Access remains active during the notice period.
No refunds are issued for unused time.
If payments fail, access may be suspended.
5. Client Responsibilities
You agree to:
- Provide timely feedback and approvals
- Supply required assets (branding, copy, access)
- Maintain active software subscriptions required for builds
- Engage with conversations generated by the system where required
Delays on your side may delay delivery timelines.
6. Intellectual Property
Unless otherwise agreed:
You retain ownership of your brand assets and content.
We retain ownership of proprietary frameworks, templates, internal processes, and system architecture.
You may not resell, distribute, or replicate our system structure commercially without written consent.
7. Confidentiality
Both parties agree to keep confidential:
- Commercially sensitive information
- Client data
- Strategy details
- System architecture
This survives termination of services.
8. Limitation of Liability
We are not liable for:
- Loss of revenue
- Indirect or consequential losses
- Platform outages
- Third-party software issues
- Missed sales opportunities
Our total liability is limited to the fees paid in the preceding 3 months.
9. Termination
We reserve the right to terminate services if:
- Payments are repeatedly late
- Communication becomes abusive or unreasonable
- You breach these terms
In such cases, no refunds will be issued.
10. Amendments
We may update these Terms & Conditions at any time.
The latest version will always apply to active clients.
11. Governing Law
These Terms are governed by the laws of England and Wales.
Any disputes will be handled in UK courts.
